Terms of
Service

Please read these terms carefully before engaging our services. By working with Webight, you agree to be bound by these terms.

1. Definitions

  • “Webight,” “we,” “us,” “our” refers to Webight, a web development and digital design agency based in Delhi NCR, India.
  • “Client,” “you,” “your” refers to the individual or entity engaging our services.
  • “Services” refers to web development, digital design, branding, consulting, and any other work agreed upon between you and Webight.
  • “Deliverables” refers to all work product, code, designs, assets, and documentation produced under a project engagement.

2. Scope of Services

The specific scope, timeline, deliverables, and fees for each project will be outlined in a separate proposal or statement of work (“SOW”) agreed upon by both parties before work begins. These terms govern the overall relationship; the SOW governs the specifics of each engagement.

Any work requested beyond the agreed scope will be treated as a change request and may require a revised timeline and additional fees, which will be communicated and agreed upon before proceeding.

3. Fees and Payment

  • All fees are specified in the project proposal or SOW and are quoted in Indian Rupees (INR) unless stated otherwise.
  • A non-refundable advance payment is required before work begins, as specified in the proposal.
  • Milestone payments, where applicable, are due within 7 days of invoice issuance.
  • Late payments may attract an interest charge of 1.5% per month on the outstanding balance.
  • We reserve the right to pause or suspend work if payments are overdue by more than 14 days.

4. Intellectual Property

Client ownership: Upon full payment of all fees, the client receives full ownership of the custom deliverables created specifically for their project, including custom designs, custom code, and project-specific assets.

Webight ownership: We retain ownership of all pre-existing tools, frameworks, libraries, code snippets, and methodologies used in the creation of deliverables. Where such materials are incorporated into your project, you receive a perpetual, non-exclusive, royalty-free licence to use them within the context of the delivered project.

Open-source components: Projects may include open-source software governed by their respective licences. We will inform you of any significant open-source dependencies and their licence terms.

Portfolio rights: Unless otherwise agreed in writing, Webight retains the right to showcase the completed work in our portfolio, case studies, and marketing materials.

5. Client Responsibilities

To ensure smooth project delivery, you agree to:

  • Provide all required content, assets, credentials, and feedback in a timely manner.
  • Designate a single point of contact authorised to make decisions and approvals on behalf of your organisation.
  • Review and approve deliverables within the timeframes agreed in the SOW.
  • Ensure that all materials you provide to us do not infringe upon any third-party intellectual property rights.

Delays caused by late provision of materials or feedback may result in adjusted timelines, and Webight shall not be held liable for such delays.

6. Revisions and Approvals

The number of revision rounds included in a project will be specified in the proposal or SOW. Additional revisions beyond the agreed scope may incur extra charges at our standard hourly rate.

Once a deliverable is approved in writing (including email or messaging confirmation), any subsequent changes to that deliverable will be treated as new work and billed accordingly.

7. Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, business strategies, or technical details shared during the course of the engagement. This obligation survives termination of the agreement and remains in effect for a period of two years after the conclusion of the project.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Warranties and Disclaimers

We warrant that all services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day warranty period after final delivery, during which we will fix any bugs or defects in the delivered work at no additional cost.

Beyond this warranty period, maintenance and support are available under a separate agreement. We do not guarantee specific business outcomes, search engine rankings, traffic volumes, or conversion rates unless explicitly stated in the SOW.

Except as expressly stated herein, all services are provided “as is” without warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Webight's total liability for any claims arising out of or related to our services shall not exceed the total fees paid by you for the specific project in question.

In no event shall Webight be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption, regardless of the cause of action or theory of liability.

10. Termination

Either party may terminate the engagement with 14 days' written notice. Upon termination:

  • The client shall pay for all work completed up to the date of termination.
  • The advance payment is non-refundable, as it covers resource allocation and project planning costs.
  • Any completed deliverables will be handed over to the client upon settlement of outstanding payments.
  • Work-in-progress deliverables will be provided in their current state.

Webight may terminate the engagement immediately if the client is in material breach of these terms, including non-payment of fees for more than 30 days.

11. Indemnification

You agree to indemnify and hold harmless Webight, its founders, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your breach of these terms; (b) your use of the deliverables; (c) any content, materials, or data you provide that infringes upon third-party rights; or (d) any dispute between you and your end users or customers.

12. Force Majeure

Neither party shall be liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, power failures, or acts of war. The affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact.

13. Governing Law and Disputes

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.

14. Website Use

By using the Webight website, you agree to:

  • Use the site only for lawful purposes and in a manner that does not infringe upon the rights of others.
  • Not attempt to gain unauthorised access to any part of the site, server, or connected systems.
  • Not reproduce, duplicate, copy, or redistribute any content from this website without written permission.

All content on this website, including text, graphics, logos, and images, is the property of Webight and protected by applicable intellectual property laws.

15. Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Changes to These Terms

We reserve the right to update these terms at any time. Material changes will be reflected by updating the “Last updated” date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
